TactoTek makes no warranty, representation or guarantee regarding the suitability of the Technology for any particular purpose or the continuing production of any product. To the maximum extent permitted by applicable law, TactoTek disclaims (i) any and all liability arising out of the application or use of any Technology, (ii) any and all liability, including without limitation special, punitive, indirect, consequential, or incidental damages, and (iii) any and all implied warranties, including warranties of fitness for particular purpose, non-infringement, and merchantability.
Statements regarding the suitability of Technology applications for certain types of products are based on TactoTek’s knowledge of typical requirements involving generic applications. Such statements are not binding statements regarding the suitability of the Technology for products or any other particular application. It is the customer’s responsibility to validate that the Technology is suitable for any particular product or application.
Parameters provided in datasheets and/or specifications may vary in different applications and performance may vary over time. All operating parameters, including typical parameters, must be validated for each customer application by customer’s technical experts. Specifications provided by TactoTek do not expand or otherwise modify TactoTek’s legal obligations under existing contractual arrangements or standard terms and conditions, including but not limited to the warranty expressed therein.
Except as expressly indicated in writing, TactoTek Technology is not designed for use in medical, life-saving, or life-sustaining applications or for any other application in which the failure of the TactoTek Technology could result in personal injury or death. Customers using or selling products based on TactoTek Technology for such uses do so at their own risk.
CONFIDENTIALITY AND INTELLECTUAL PROPERTY RIGHTS
All information disclosed to you by TactoTek including TactoTek Technology constitute TactoTek confidential information and trade secrets. You shall keep in confidence all information received from TactoTek, and shall not use it for any purpose other than the purpose authorized by TactoTek. You will not copy TactoTek information and will not reverse engineer, disassemble or decompile any prototypes, software or other tangible objects, which embody TactoTek information, or otherwise attempt to reconstruct, identify or discover any source code, algorithms, formulations or processes used in, or to make, any of the foregoing. You may not file any proprietary rights based on or including any of the TactoTek Technology or TactoTek confidential information.
TactoTek’s Injection Molded Structural Electronics (“IMSE®”) technology is owned by TactoTek. TactoTek does not hereby transfer ownership rights of IMSE technology or any intellectual property rights pertaining to IMSE technology or any other intellectual property rights of TactoTek.
No license, express or implied, by estoppel or otherwise, to any intellectual property rights is granted by this document or by any conduct of TactoTek. Product names and markings noted herein may be trademarks of TactoTek or their respective owners.
A separate license agreement with TactoTek is required for any use of TactoTek Technology or confidential information. Please refer to the terms of the applicable license agreement or contact authorized TactoTek personnel to obtain written terms and conditions regarding TactoTek Technology for products and other applications.
